買(mǎi)賣(mài)雙方經(jīng)協(xié)商同意按下列條款成交：
The undersigned Seller and Buyer have agreed to close the following transactions according to the terms and conditions set forth as below:
1. 貨物名稱(chēng)、規(guī)格和質(zhì)量 (Name, Specifications and Quality of Commodity):

3. 單價(jià)及價(jià)格條款 (Unit Price and Terms of Delivery) :
(除非另有規(guī)定，"FOB"、"CFR"和" CIF"均應(yīng)依照國(guó)際商會(huì)制定的《2000年國(guó)際貿(mào)易術(shù)語(yǔ)解釋通則》(INCOTERMS 2000)辦理。)
The terms FOB,CFR,or CIF shall be subject to the International Rules for the Interpretation of Trade Terms (INCOTERMS 2000) provided by International Chamber of Commerce (ICC) unless otherwise stipulated herein.)
4. 總價(jià) (Total Amount):

收到可以轉(zhuǎn)船及分批裝運(yùn)之信用證＿＿＿天內(nèi)裝運(yùn)。

7. 付款條件（Terms of Payment）：
買(mǎi)方須于＿＿＿＿ 前將保兌的、不可撤銷(xiāo)的、可轉(zhuǎn)讓的、可分割的即期付款信用證開(kāi)到賣(mài)方，該信用證的有效期延至裝運(yùn)期后_____天在中國(guó)到期，并必 須注明允許分批裝運(yùn)和轉(zhuǎn)船。
By Confirmed, Irrevocable, Transferable and Divisible L/C to be available by sight draft to reach the Seller before ______ and to remain valid for negotiation in China until ______after the Time of Shipment. The L/C must specify that transshipment and partial shipments are allowed.
買(mǎi)方未在規(guī)定的時(shí)間內(nèi)開(kāi)出信用證，賣(mài)方有權(quán)發(fā)出通知取消本合同，或接受 買(mǎi)方對(duì)本合同未執(zhí)行的全部或部份，或?qū)σ虼嗽馐艿膿p失提出索賠。
The Buyer shall establish a Letter of Credit before the above-stipulated time, failing which, the Seller shall have the right to rescind this Contract upon the arrival of the notice at Buye
